General terms and conditions
This translation is provided for information only. In the event of any discrepancy, the Dutch version shall prevail.
These general terms and conditions apply to every quotation, request, assignment, agreement and service provided by Beehive BV. By contracting with Beehive or placing an assignment, the Client accepts these terms and conditions.
1. Identity and definitions
These general terms and conditions are used by Beehive BV, with registered office at Reygaerdijkstraat 10, 8630 Veurne, registered with the Crossroads Bank for Enterprises (CBE) under number 0769.500.901 (VAT BE 0769.500.901), hereinafter ‘Beehive’.
- Client: any natural or legal person who enters into an agreement with Beehive or submits a quotation, assignment or request to Beehive, as well as the person on whose behalf the services are performed.
- Consumer: a Client who is a natural person acting for purposes outside their trade, business or profession. Business: any other Client.
- Agreement: any arrangement between Beehive and the Client for the provision of services, regardless of the form in which it is concluded.
- Services: all services performed by Beehive, including cleaning and maintenance, final cleaning, changeover cleaning (turnover) of holiday homes, window cleaning, linen care, replenishment and consumable items, welcome packs, handyman and repair work, quality inspections and related facility services.
- Property: the location(s) where the services are performed. Operative: an employee, temporary agency worker or subcontractor deployed by Beehive.
- Portal: Beehive’s digital customer environment. Wallet: the system of prepaid credit within the Portal.
- Estimated hours or estimate: an indicative assessment of the expected duration. Actual hours: the time actually worked as recorded by Beehive.
2. Applicability and precedence
- These terms and conditions apply to every quotation, request, order, assignment, agreement and provision of services by Beehive and form an integral part thereof.
- The Client is deemed to be aware of and to accept these terms and conditions by concluding the agreement in any of the ways described in Article 4, even if they have not been signed separately.
- These terms and conditions take precedence over any general or specific terms and conditions of the Client, which are expressly excluded, even if they provide otherwise. Deviations apply only if they have been expressly accepted by Beehive in writing, and only for the agreement for which they were granted.
- Specific written arrangements take precedence over these general terms and conditions. In all other respects, these terms and conditions remain fully applicable.
- Beehive may amend these terms and conditions. The applicable version is the one in force at the time the assignment concerned is concluded; the most recently published version applies to recurring assignments.
3. Quotations and price estimates
- All quotations and price estimates are non-binding and do not bind Beehive unless and until they have been confirmed by Beehive in writing. They are valid for 30 calendar days, unless stated otherwise.
- A quotation is based on the information, surface areas, condition and circumstances as communicated by the Client or as established at the time of measurement. If these prove to be incorrect, incomplete or changed, Beehive may adjust the price and/or the performance accordingly.
- Any duration, number of hours or frequency stated in a quotation is an indication within the meaning of Article 5 and does not constitute a fixed price or guaranteed maximum, unless expressly designated as a ‘fixed flat fee’.
- Composite prices do not oblige Beehive to perform part of the work for a corresponding part of the price. Manifest errors or clerical mistakes do not bind Beehive.
4. Formation and acceptance of the agreement
Important: binding acceptance. Acceptance by e-mail is binding and constitutes a full agreement, on an equal footing with a signed quotation. A simple confirmation such as ‘agreed’, ‘OK’, ‘go ahead’ or ‘please schedule’, or any other expression of consent, is sufficient.
- The agreement is concluded, among other things but not exclusively, by:
- the written confirmation of a quotation or assignment by the Client, including an e-mail, message or confirmation in the Portal;
- placing or confirming a request via Beehive’s customer portal or web form;
- accepting, or failing to reject in good time, a schedule or time slot proposed by Beehive;
- the creation of an assignment on the basis of a booking or calendar system linked by the Client (including iCal, Guesty, Hospitable, Zabun or similar): every booking or check-out that generates a service via that link is deemed an assignment given and accepted by the Client;
- actually having the services started or performed, or granting access to the Property for that purpose.
- Anyone who places, confirms or accepts an assignment on behalf of the Client is deemed to be authorised to do so and binds the Client. Beehive is not required to verify that power of representation.
- Amendments or additions to an existing agreement are concluded in the same ways and are likewise binding.
- Beehive reserves the right to refuse an assignment without stating reasons, including in the event of doubt about creditworthiness, accessibility or safety.
5. Hours, estimates and price
Unless a fixed price has been expressly agreed, Beehive invoices on the basis of the hours actually worked at the applicable hourly rate.
Important: an estimate is not a fixed price. Any statement of a number of hours, a duration, ‘guide hours’ or an assessment is a purely indicative estimate made in good faith, based on the information available at that time. It does not constitute a fixed price, a ceiling or a guaranteed maximum. Deviations between the estimate and the time actually required, whether upwards or downwards, are inherent to the work and do not constitute an error or failure. The Client is not entitled to any credit, discount or refund merely because the actual hours exceed the estimate, insofar as those hours were actually worked.
- Unless a fixed flat fee or fixed price has been expressly agreed in writing, the price is determined by the time actually worked multiplied by the applicable hourly rate, increased where applicable by travel costs, surcharges and material or consumable costs.
- The scope of the work depends on circumstances that cannot be fully known at the time of the estimate, including the actual condition and degree of soiling of the Property, the presence of pets, waste or goods left behind, additional or modified tasks, hard-to-reach areas and external circumstances. Additional work arising from this is dealt with in accordance with Article 7.
- Beehive records the services actually performed (check-in and check-out times, time registration and, where applicable, GPS location and photos). Between the parties, these records serve as proof of the services provided and the time spent.
- Each assignment may be subject to a minimum rate per visit and/or a flat-rate minimum price (for example per m²); if the calculated price is lower than that minimum, the minimum applies.
- Prices are stated exclusive of VAT for businesses and inclusive of VAT for consumers, unless stated otherwise. Applicable surcharges (including for Saturdays, Sundays and public holidays, night-time or urgent services) and travel costs are charged in addition.
- Beehive may adjust its rates, including as a result of indexation, changes in wage, energy or material costs or statutory contributions. For recurring assignments, adjusted rates take effect after notification; continuation of the service constitutes acceptance.
6. Recurring assignments and scheduling
- For recurring assignments (periodic maintenance, fixed frequencies, turnovers after check-out), Beehive determines the schedule, the allocation of days and hours and the deployment of operatives to the best of its ability and in line with its organisation.
- Dates and times are always indicative. Beehive enters into an obligation of means and not an obligation of result at an exact time. Beehive may move or regroup services or have them performed by another operative.
- For turnovers or changeover cleaning, Beehive will make every effort to have the Property ready in time for the check-in communicated by the Client, insofar as the check-out, access and condition of the Property allow. Late, missing or incorrect information about check-in or check-out releases Beehive from all liability for late completion.
- The Client shall provide all information, keys, codes and access in a timely and correct manner. In the event of lack of access or a service that cannot be performed for reasons beyond Beehive’s control, Article 9 applies.
7. Changes and additional work
- Any change, extension or additional task requested by or on behalf of the Client, as well as any service exceeding the original assignment, is deemed additional work and is charged at the applicable hourly rate and/or the applicable unit prices.
- Beehive may perform additional work that is reasonably necessary for proper performance or that results from unforeseen circumstances on site, without a separate prior order, and charge for it.
- Changes may affect the price and the schedule. Beehive shall not be held responsible if a change cannot be performed, or can only be performed late, due to circumstances on the Client’s side.
8. Obligations of the Client
- The Client shall provide timely, safe and unobstructed access to the Property and the areas to be serviced, and shall make available the necessary keys, codes, means of access and, where applicable, parking facilities.
- The Client shall ensure the availability of the necessary utilities (water, electricity, heating, lighting) and a safe working environment that complies with the applicable well-being and safety regulations.
- The Client shall provide in good time all information necessary for proper performance, including details about materials, surfaces, fragile or valuable items and specific instructions. Beehive is not liable for damage or defects resulting from incorrect, incomplete or late information or instructions.
- Valuable, fragile or irreplaceable items shall be removed in advance by the Client or clearly identified as such; failing this, the Client bears the risk.
- The Client shall refrain from giving operatives direct instructions that fall outside the agreement; such instructions do not bind Beehive.
9. Cancellation, rescheduling and no-show
- Cancellation or rescheduling of a planned service must be made in writing (e-mail or Portal) and is only valid after confirmation by Beehive.
- In the event of cancellation or rescheduling less than 48 hours before the scheduled time, the Client owes compensation of 50% of the price of the service concerned; less than 24 hours in advance or in the event of a no-show (no access, a service that cannot be performed or absence for reasons beyond Beehive’s control), 100% of the price is due.
- The compensation set out above covers capacity already reserved and costs already incurred and is without prejudice to Beehive’s right to claim higher damages actually suffered.
- For cancellation by a consumer, Article 21 also applies.
10. Specific services
- Cleaning and maintenance. Beehive performs the work carefully and to the best of its ability. The removal of stubborn, burnt-in or old stains, limescale, mould or similar defects is an obligation of means and not an obligation of result; failure to achieve a complete result does not constitute a breach.
- Window cleaning. Charged separately or at a flat rate. Weather conditions, accessibility and the condition of the glass may affect the result.
- Linen, consumables and replenishment items, welcome packs. Goods supplied or replenished are charged in addition at the applicable prices. Ordered welcome packs and consumables cannot be cancelled free of charge after confirmation.
- Handyman and repair work. Charged at the applicable (handyman) hourly rate, plus materials and a margin on them. Beehive assesses whether a repair is feasible and justified and may refuse it.
- Quality inspections. Inspection visits are charged as a separate service at the applicable rate.
- Articles 5 and 7 apply in full to each of the above services.
11. Found items and waste
- Items found during performance are reported and/or kept where possible; Beehive is not liable for their loss, damage or non-return, except in the event of wilful misconduct or gross negligence.
- The removal, collection or processing of additional waste is not included in the price unless expressly agreed, and is charged separately.
12. Prices, invoicing and payment
- Invoices are payable within 15 calendar days of the invoice date, net and without discount, unless otherwise agreed in writing. Payment is made in the manner indicated by Beehive (bank transfer, online payment or Wallet credit).
- Beehive may make the provision of services wholly or partly conditional on prepayment or sufficient Wallet credit. In the event of insufficient credit or non-payment, Beehive may suspend, refuse or not schedule services, without liability and without prejudice to its right to compensation.
- Work on immovable property between VAT-registered parties is subject to the VAT reverse charge (co-contractor): the VAT is payable by the co-contractor, in accordance with the applicable regulations, and this is stated on the invoice.
- If a business fails to pay the invoice by the due date, interest of 15% shall be due by operation of law and without any notice of default. If non-payment is unjustified and without plausible reason, the invoice amount shall, by operation of law and from the due date, be increased by a fixed compensation of 10% of the invoice amount, with a minimum of € 150,00.
- With regard to a consumer, in the event of non-payment of the invoice by the due date, a notice of default shall be sent to the consumer free of charge. In the event of non-payment within 14 days of the reminder letter, the consumer shall owe interest of 10,5%. In addition, the invoice amount shall in that case also give rise to a fixed compensation as set out below:
- 20 EUR if the remaining amount due is lower than or equal to 150 EUR
- 30 EUR plus 10 % of the amount due on the bracket between 150,01 and 500 EUR if the remaining amount due is between 150,01 and 500 EUR
- 65 EUR plus 5 % of the amount due on the bracket above 500 EUR, with a maximum of 2.000 EUR, if the remaining amount due is higher than 500 EUR
- In the event of late payment of a single invoice, all outstanding invoices become immediately due and payable and Beehive may suspend its obligations. Payments are allocated first to costs and interest, then to the oldest outstanding principal.
- The goods and materials supplied remain the property of Beehive until full payment of the principal, costs and interest (retention of title), where applicable.
13. Disputing invoices
Important: disputing hours. Any dispute concerning an invoice, including the hours charged or the time spent, must reach Beehive within 8 calendar days of the invoice date, by registered letter or e-mail, stating reasons and in detail. In the absence of a timely and reasoned dispute, the invoice, and therefore also the hours worked, is irrevocably deemed accepted and no credit or refund is possible thereafter.
- A dispute does not suspend the payment obligation and does not release the Client from timely payment of the undisputed part.
- The records referred to in Article 5.3 serve as proof of the time worked; a mere deviation from an earlier estimate is not a valid ground for dispute.
14. Complaints about performance
- Complaints about the services provided must be reported in writing (e-mail or Portal), stating reasons and with supporting evidence, within 48 hours of performance, and in any event before any subsequent use or occupancy of the Property that makes inspection impossible.
- In the event of a justified and timely complaint, Beehive has the right, at its discretion, to perform the service concerned again or additionally free of charge within a reasonable period. This remedy constitutes full satisfaction and does not entitle the Client to a price reduction or damages, without prejudice to the mandatory rights of the consumer.
- Where applicable, the before and after photos and records made by Beehive serve as proof of the condition and the performance.
- Late complaints or complaints made after intervening use or occupancy are inadmissible.
15. Liability
- Unless expressly provided otherwise, Beehive’s obligations are obligations of means.
- Beehive is only liable for direct damage that is the direct and proven consequence of gross negligence or wilful misconduct attributable to it. Any liability for indirect or consequential damage (including loss of profit and turnover, loss of customers or bookings, non-material damage and damage to third parties) is excluded.
- Beehive’s total liability per claim is limited to the amount paid out by its liability insurance and, in the absence of cover, to the invoiced amount of the service concerned, with an absolute maximum of the amounts invoiced for that assignment over the last three months.
- Visible damage caused during performance must, on pain of forfeiture, be reported within 48 hours in writing and with evidence (including photos), so that Beehive can investigate the circumstances.
- Beehive is not liable for damage resulting from the condition of the Property, defective or unsuitable materials or installations, latent defects, incorrect or missing information or instructions from the Client, or failure to remove valuable or fragile items.
- The Client indemnifies Beehive against third-party claims relating to the performance, except in the event of gross negligence or wilful misconduct by Beehive.
- The exclusions and limitations set out in this article do not apply in the event of wilful misconduct or gross negligence by Beehive, nor to damage to life or physical integrity, nor to the extent that mandatory law precludes them.
16. Force majeure
- Beehive is not obliged to perform any obligation if it is prevented from doing so by force majeure or unforeseen circumstances beyond its reasonable control, including extreme weather conditions, illness or absence of staff, strikes, traffic disruptions, breakdowns, fire, epidemics, shortages of materials, failures at suppliers or utilities, and government measures.
- In that case, Beehive may suspend performance or terminate the agreement in whole or in part, without any compensation. Services already provided remain payable.
17. Subcontracting and staff
- For the performance, Beehive may be assisted in whole or in part by, or make use of, temporary agency workers or subcontractors, without the prior consent of the Client.
- The Client undertakes, during the term of the agreement and for twelve months after its termination, not to employ or engage operatives of Beehive, directly or indirectly, outside Beehive, except with prior written consent. In the event of a breach, a fixed compensation equal to six months’ gross salary of the operative concerned is due, without prejudice to higher proven damages.
18. Termination and suspension
- Beehive may suspend or terminate the agreement with immediate effect and without judicial intervention, by written notice, if the Client fails to fulfil any of its essential obligations (including payment, access or safe working conditions), in the event of manifest insolvency, or in the event of abuse.
- Recurring assignments of indefinite duration may be terminated by either party by e-mail with a reasonable notice period of thirty days, without prejudice to services already provided and services already scheduled.
- In the event of termination attributable to the Client, the services already provided, the costs incurred and compensation in accordance with Article 9 are due.
19. Data, privacy and images
- Beehive processes personal data in accordance with the GDPR and the applicable legislation, exclusively for the performance of the agreement, invoicing, quality monitoring and its legitimate interests. Beehive’s privacy statement forms an integral part hereof.
- In the context of performance and quality monitoring, Beehive may take and keep photos (including before/after) and time and location records . These may be used as proof of the condition of the Property and of the services provided, and for internal quality and dispute purposes. They are not made public without consent, except in anonymised form or as evidence in a dispute.
- The Client warrants that it is entitled to grant Beehive access to the Property and the data present there, and indemnifies Beehive against third-party claims in this respect.
20. Intellectual property
- All know-how, methods, checklists, reports, software and the customer portal of Beehive remain its exclusive property. The Client acquires no rights whatsoever in them beyond the use necessary for performance.
- Documents and data provided by the Client are treated confidentially and are not used for purposes other than the performance of the agreement.
21. Specific provisions for consumers
- With regard to a consumer, these terms and conditions are without prejudice to the mandatory rights the consumer derives from Book VI and Book XIX of the Code of Economic Law and other mandatory consumer law; in the event of conflict, mandatory law prevails.
- In the case of a distance or off-premises contract, the consumer in principle has a 14-day right of withdrawal. However, if the consumer expressly requests that performance begin before that period expires, they acknowledge that they lose their right of withdrawal once the service has been fully performed, and in the event of withdrawal during performance, they owe the part already performed.
- Penalty and damages clauses are always applied to a consumer within the statutory maximums and on a reciprocal basis.
- In the event of a complaint, the consumer may contact the Consumer Mediation Service (consumentenombudsdienst.be) or the European ODR platform (ec.europa.eu/consumers/odr).
22. Miscellaneous provisions
- Severability. If a clause is wholly or partly null and void or unenforceable, the remaining clauses remain fully applicable and the clause concerned is replaced by a valid clause that comes as close as possible to its intent.
- No waiver. Failure by Beehive to enforce any right, or to enforce it immediately, does not constitute a waiver of that right.
- Assignment. Beehive may assign its rights and obligations under the agreement to an affiliated company or legal successor.
- Notices. Communications are legally valid by e-mail to the addresses most recently provided by the parties or via the Portal.
- Language. The Dutch text of these terms and conditions is the only authentic version; translations are for information purposes only.
23. Applicable law and competent court
- Exclusively Belgian law applies to all agreements and to these terms and conditions.
- Any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Beehive’s registered office (Enterprise Court of Gent, Veurne division, and the Justice of the Peace of the canton of the registered office), without prejudice to Beehive’s right to summon the Client before the court of the Client’s domicile or registered office, and without prejudice to the mandatory rules of jurisdiction in favour of the consumer.
